1. About Klivea

Klivea (“we,” “our,” or “us”) is a matching platform that connects individuals and businesses with Certified Public Accountants (CPAs). By accessing or using our platform, you agree to these Terms of Service. If you do not agree, do not use the platform.

2. Eligibility

You must be at least 18 years old to use Klivea. By using the platform, you represent that you have the legal capacity to enter into a binding agreement. If you are using the platform on behalf of a business, you represent that you have authority to bind that business to these terms.

3. Nature of Service

Klivea is a matching and communication platform — not a CPA firm, accounting firm, or tax advisory service. We do not provide tax, legal, or financial advice. Any professional advice or services you receive come from the independent CPA you are connected with, not from Klivea. Klivea is not responsible for the quality, accuracy, or outcome of any advice or services provided by CPAs on our platform.

4. User Accounts

  • You are responsible for keeping your account credentials secure.
  • You must provide accurate and complete information when creating an account.
  • You may not share your account with others or create multiple accounts.
  • We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

5. CPA Accounts

CPAs who apply to join our network must provide accurate information about their credentials, licenses, and practice. Klivea reserves the right to verify CPA credentials and to remove any CPA from the platform at our discretion. CPAs are independent professionals and are not employees or agents of Klivea.

6. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose
  • Provide false or misleading information
  • Harass, threaten, or abuse other users or CPAs
  • Attempt to circumvent our matching process to contact CPAs directly outside the platform
  • Reverse engineer, scrape, or copy any part of the platform
  • Interfere with the security or operation of our systems

7. Fees and Payment

Klivea may charge fees for certain services. Any applicable fees will be disclosed to you before you incur them. Fees for professional services are agreed directly between you and your assigned CPA — Klivea is not a party to that agreement. All fees paid to Klivea are non-refundable unless otherwise stated.

8. Intellectual Property

All content, trademarks, and software on the Klivea platform are owned by or licensed to Klivea. You may not reproduce, distribute, or create derivative works without our written permission. You retain ownership of any content you submit, but grant us a license to use it to operate and improve our services.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. KLIVEA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CPA MATCH WILL MEET YOUR SPECIFIC NEEDS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLIVEA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES PROVIDED BY CPAS THROUGH OUR PLATFORM. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES YOU PAID TO KLIVEA IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to Klivea at any time for violations of these terms or for any other reason at our discretion. You may close your account at any time by contacting us. Upon termination, your right to use the platform ceases immediately.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising from these terms shall be resolved exclusively in the state or federal courts located in New York.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new “Last updated” date. Continued use of the platform after changes constitutes acceptance of the updated Terms.
